Terms of Engagement

These Terms of Engagement set forth the professional standards, operating parameters, and commercial terms under which Parikesit Law Firm provides legal counsel and transactional advisory.

1. Scope of Engagement

These standard Terms of Engagement apply to all legal services rendered by Parikesit Law Firm (“the Firm”) to the client named in our formal Engagement Letter, Fee Proposal, or Power of Attorney (Surat Kuasa), unless expressly modified in writing by a partner of the Firm.

The specific scope of representation, deliverables, timelines, and partner supervision will be defined in the accompanying Engagement Letter executed for each distinct matter.

2. Standard of Professional Care

The Firm will provide legal counsel with the degree of diligence, skill, and integrity expected of a premier Indonesian law firm, adhering to the Indonesian Advocate Code of Ethics (Kode Etik Advokat Indonesia) and Law No. 18 of 2003 on Advocates.

While we dedicate our utmost commercial and technical acumen to achieving our clients' objectives, legal opinions and strategic guidance do not constitute a guarantee of specific commercial outcomes, regulatory approvals, or judicial determinations.

3. Client Obligations and Transparency

To enable effective representation, the Client agrees to:

  • Provide complete, accurate, and timely instructions, documentation, and background information relevant to the matter;
  • Promptly notify the Firm of any material developments, correspondence, or third-party interactions relating to the assignment;
  • Provide statutory identity documents required under Indonesian Anti-Money Laundering (AML) and Know-Your-Customer (KYC) regulations before the commencement of advisory.

4. Professional Fees, Retainers, and Disbursements

Fees for professional legal services may be structured on an agreed fixed-fee basis, monthly retainer, or hourly billing rates commensurate with seniority, as outlined in the Fee Proposal.

  • Disbursements: Out-of-pocket expenses incurred on the Client's behalf (e.g., official government filing fees, court registration costs, official translation services, and notary fees) will be billed at actual cost.
  • Invoicing and Settlement: Invoices are payable within fourteen (14) calendar days of receipt. Late payments may accrue statutory interest or result in the suspension of active representation.
  • Taxes: All stated professional fees are exclusive of applicable Indonesian Value Added Tax (PPN), which will be levied in accordance with prevailing tax legislation.

5. Confidentiality and Advocate Privilege

All confidential information, business records, and transaction strategies communicated to the Firm in the course of representation are protected under statutory Advocate-Client Privilege (Rahasia Jabatan) pursuant to Article 19 of Law No. 18 of 2003 on Advocates.

The Firm will not disclose confidential client information to any third party without prior authorization, except where required by mandatory Indonesian statutory law or binding judicial order.

6. Conflict of Interest Checks

The Firm conducts rigorous conflict-of-interest checks across our corporate database prior to confirming any new engagement. If a potential or actual conflict arises during representation, we will promptly notify the affected parties and determine whether the conflict can be appropriately managed with informed consent and ethical information barriers (ethical walls).

7. Work Product and Intellectual Property

The Client retains all ownership rights in documents, files, and corporate materials provided to the Firm. Copyright and intellectual property rights in work products prepared by the Firm (including legal opinions, contracts, transaction briefs, and advisory memoranda) remain the property of Parikesit Law Firm until all professional fees have been settled in full.

8. Limitation of Liability

To the maximum extent permitted by Indonesian law, the aggregate liability of the Firm, its partners, associates, and consultants arising out of or in connection with the legal services rendered under any engagement shall not exceed the total professional fees actually received by the Firm for the specific matter in question.

9. Termination of Engagement

Either party may terminate the engagement at any time upon providing written notice. Upon termination, the Client remains obligated to pay for all legal work performed and disbursements incurred up to the effective termination date.

10. Governing Law and Dispute Resolution

These Terms of Engagement and all aspects of the attorney-client relationship shall be governed by and construed in accordance with the laws of the Republic of Indonesia.

Any dispute arising out of or in connection with our professional engagement shall first be resolved through amicable consultation. If unresolved within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of Jakarta, or to arbitration before the Indonesian National Board of Arbitration (Badan Arbitrase Nasional Indonesia / BANI) if mutually agreed in the Engagement Letter.
